Hampton, NH based Planet Fitness, Inc., together with its subsidiaries, franchises and operates fitness centers under the Planet Fitness brand. Planet Fitness, Inc. (NYSE: PLNT) reported that its annual Total Revenue rose from $1.18 billion in 2024 to $1.32 billion in 2025, and that its Net Income increased from $172.04 million in 2024 to $219.10 million in 2025.

On May 7, 2026, Planet Fitness announced its financial results for the first quarter of fiscal year 2026, allegedly revealing that its critical peak sign-up period was off to a slower-than-expected start internally. The Planet Fitness class action lawsuit further alleges that Planet Fitness disclosed it reduced full-year 2026 and same-store growth guidance, completely withdrew its long-term three-year growth algorithm it had introduced just six months prior, and announced that Planet Fitness was pausing the planned national rollout of the Black Card price increase to prioritize revitalizing new membership growth.

Shares of Planet Fitness, Inc. (NYSE: PLNT) declined from $114.26 per share on December 16, 2025, to as low as $37.03 per share on May 07, 2025.

According to the complaint filed in the U.S. District Court for the District of New Hampshire the plaintiff alleges on behalf of purchasers of Planet Fitness, Inc. (NYSE: PLNT) common shares between November 6, 2025 and May 6, 2026, that the defendants violated Federal Securities Laws. More specifically, the plaintiff claims that between November 6, 2025 and May 6, 2026, the defendants made false and/or misleading statements and/or failed to disclose that defendants created the false impression that they possessed reliable information pertaining to Planet Fitness' ability to nationally roll out the Black Card price increase, Planet Fitness' projected membership growth outlook and associated sales growth, and Planet Fitness' ability to drive new joins on its existing marketing campaign, purportedly saving Planet Fitness additional funds, while also minimizing risks from seasonality, weather-related events, and general macroeconomic fluctuations.
