19% up to EUR 200,000 profit

25.8% on profits in excess of this amount

Germany: generally approx. 30% (corporation tax + trade tax)

Tax-free dividends between holding company and subsidiary

The participation exemption (deelnemingsvrijstelling) exempts 100% of dividends and capital gains from corporation tax if the holding company holds at least 5%.

The Netherlands has a dense network of double taxation agreements, including with Germany.

Reserves, real estate or investments can be managed on a tax-neutral basis.

The holding company also serves as an investment platform and asset protection instrument.

5 Legal framework conditions

Place of management:
The actual management should take place in the Netherlands. Dutch Intraco provides real business addresses in Winschoten - just 16 km across the German border.

Freelancer status:
Freelance activities are considered commercial in the Dutch B.V.. This is usually unproblematic for tax purposes, but must be taken into account.

Double taxation agreement:
Proper application of the D-NL treaty is important, especially for managing director salaries.

VAT treatment:
Services provided by a Dutch B.V. to German customers are considered intra-Community services.
VAT registration in Germany may be necessary.
