The Netherlands is becoming an increasingly attractive location for German companies and entrepreneurs
The business climate in Germany has been deteriorating for some time now. In Germany, an early election will be held on February 23, 2025 to elect the new federal government. In any case, it is certain that the new government will also have at least two coalition partners, meaning that the course of the new government will remain speculative. German start-ups, young and established entrepreneurs and innovators are therefore increasingly interested in an unbureaucratic and legally secure location as an alternative to Germany, but one that is as quick and easy to reach as possible.Why not the Netherlands?
For over 10 years, Dutch Intraco Holding B.V. has been offering a service for natural and legal persons not resident in the Netherlands who are looking for a suitable location to set up a holding structure. Within the EU, the Netherlands is particularly suitable for such a project.
Dutch Intraco Holding B.V. has repeatedly reported on the generally known advantages of a company location in the Netherlands for years.
The relevant information has been compiled here in order to document which requirements are necessary, how unbureaucratically and quickly such a company can be founded and what current costs you can expect for a foundation:
Preliminary remarks:
* Dutch Intraco Holding B.V. does not offer legal or tax advice. Dutch Intraco Holding B.V. only advises on business management and organizational and operational matters.
* Each client is advised to seek advice on legal and tax matters from an appropriately licensed professional.
* In the Netherlands, we only establish contact with the relevant law firms.
* With the form "Declaration of contact", the potential client clearly declares that we have been contacted by him and that we have not contacted him.
* With form 2 "Declaration of authorization to represent", the potential client declares that he is authorized to conduct all negotiations and sign contractual agreements without any restrictions in his person and/or as a representative of a legal entity. Furthermore, he expressly declares that he is neither a broker, intermediary, agent, nor a pretended person or representative of an unidentifiable structure.
* With Form 3 "Non-circumvention and non-circumvention agreement", the potential client declares that he is aware of the consequences of a breach.
* All contracts, annexes, forms and other documents are only legally valid in German.
* If a potential client requires documents in another language, he must have these translated at his own expense. The potential client shall then also bear the risk of an incorrect, inaccurate or misleading translation.
* If such translations have been made, they must be sent to us in word and pdf format. They will then always be attached to the German documents. In case of doubt, however, the German-language version is always valid.
Pre-contractual procedure for the subsequent relationship between potential clients and Dutch Intraco Holding B.V.
* As soon as we have received F1 (declaration of establishment of contact), F2 (declaration of representation) and F3 (non-disclosure and non-circumvention agreement), we will discuss the project with the potential client for the first time.
* The non-disclosure and non-circumvention agreement (F3) ensures that the potential client can provide us with the necessary information about his project.
* Dutch Intraco checks the plausibility of the project and clarifies any open questions.
* If we are of the opinion that the establishment of a Dutch holding company is reasonable and feasible, we will present the project to our Dutch tax advisor and our Dutch notary.
* If the tax advisor and/or notary refuse to set up and manage the Dutch holding company, the potential client will be informed of this and we will terminate further cooperation. There are no costs for the potential client.
Signing of contract and further procedure
* If all formal requirements are met, the establishment of a Dutch holding company makes sense and brings recognizable added value for the potential client, a corresponding contractual agreement is concluded.
* Dutch Intraco conducts preliminary discussions with the client and then informs the tax advisor and the notary of the impending formation.
* Once the general conditions (legitimation of the founders, purpose of the company, articles of association, etc.) have been clarified, the date of incorporation is agreed.
* The notary will send his invoice directly to the client. Once the advance payment has been made, the notary will begin his work.
* The client will also sign the contract with the tax consultant at the same time and/or at the formation meeting.
* Once the company is established, the initiator will receive the incorporation documents and the relevant registrations with the Chamber of Commerce, tax authorities, etc.
* Dutch Intraco and the tax consultant each receive a complete set of documents for their records.
* The tax advisor is authorized to maintain the documents, communicate with the authorities, etc.
* The holding company can commence business operations immediately upon registration in the commercial register and assignment of the tax numbers.
* A Dutch bank account is no longer mandatory. All bank accounts that comply with international standards are accepted as business accounts
What is the total cost of setting up and maintaining a Dutch holding company?
* The formation costs at the notary's office are currently around € 1,100.00 to € 1,300.00.
* Dutch Intraco charges a flat rate of € 350.00 net for participation in the formation.
* Any required and legally prescribed interpreting services at the incorporation meeting will cost approximately € 400.00 - € 600.00.
* Various service agreements can be concluded with Dutch Intraco for different durations, which always include an official Dutch rental agreement.
* If further services and consultancy are required from Dutch Intraco, the Dutch Intraco fee schedule will be applied.
* Clients of Dutch Intraco with a rental agreement receive a discount of 20.00% on the fees, but not on travel time, costs, expenses, etc. or for paperwork and research services.
* Clients of Dutch Intraco with a representation agreement receive a discount of 12.00% on fees, but not on travel time, costs, expenses, etc. or on paperwork and research services.
Which contractual relationships will exist?
* The client and Dutch Intraco have a corresponding office service agreement, which always includes a Dutch rental agreement.
* The client and the tax advisor have a corresponding service agreement, which includes the agreed services.
The following costs (net excluding VAT) may be incurred depending on the service agreement

* Representative office for 3 months / monthly: € 1.400,00
* Representative office for 6 months / monthly: € 1.000,00
* Representative for 9 months / monthly: € 700.00
* Representative for 12 months / monthly: € 500.00
* Rental contract for 12 months / monthly: € 2,100.00
* Rental agreement for 24 months / monthly: € 1,050.00
* Rental agreement for 36 months / monthly: € 700.00
* Consultation hour, normal rate € 175.00
* Daily work, normal rate € 1.400,00
* Hourly consultation for clients with a tenancy agreement € 140.00
* Daily work for our clients with a tenancy agreement € 1,120.00
* Hourly consultation for clients with a representative office € 154.00
* Daily work for our clients with a representative office € 1,232.00
* Paperwork, research etc. € 68.00
* Vehicle mileage allowance Netherlands per km € 0.60
* Vehicle mileage fee Europe per km € 0.80

* The costs for tax advice/accounting or legal advice are agreed directly between the client and the contractors.
As some clients do not yet know whether they want to make a long-term commitment, it is of course also possible to start with a purely representative office for a short period of time. A company under Dutch law does not have to be founded until business activities take place, which must be registered in the Netherlands.
You can switch between the tariffs by mutual agreement at any time.
