Termination of sponsorship for SCHEELEN Motorsport

biotonus Corp. has terminated the cooperation with all SCHEELEN companies with immediate effect, as the financial situation of SCHEELEN AG as well as the SCHEELEN Motorsport & Events Group is not stable and the relationship of trust with Frank M. Scheelen has been considerably disturbed, as the biotonus companies and their founder Markus Goller have been discredited by means of "slander" and will be further discredited in the future by threats already made.

After the SCHEELEN Motorsport & Events Group had already signaled to biotonus Corp. in April 2023 that SCHEELEN was financially unable to bear the damage caused by driver Frank M. Scheelen to the Scheelen Ferrari 458 GT3 itself, biotonus Corp. and its CEO Markus Goller personally immediately agreed to increase the annual sponsorship budget of the SCHEELEN Motorsport & Events Group by 50% at short notice without any consideration in return, not only to ensure the repair of the damaged racing car, but also to ensure the continuation of the 2023 racing season in the FERRARI Racing Series as the main sponsor.

After biotonus Corp. was directly and indirectly affected by the sanctions against Russia at the end of 2023, as parts of the production of personal care products are produced in Russia and these fall under the sanctions package imposed by the EU, biotonus, thanks to its financial strength, agreed to SCHEELEN AG to adhere to the contract and to ensure the coming 2024 season, as well as further as main sponsor, as soon as the regulatory conditions are restored. This was agreed for March 2024.

In the meantime, however, SCHEELEN AG, as well as Frank M. Scheelen by name, have spread the "_rumor_" that biotonus Corp. was "insolvent" in order to divert attention from its own financial problems. Likewise, biotonus partners were lured away to SCHEELEN AG and made to feel insecure. When it became known that Frank M. Scheelen had a business relationship with Mr. Stefan Hostettler (former Chief Sales Officer of biotonus Corp.), who had defrauded biotonus Corp. of 200.000 and who is now under criminal and regulatory investigation in Germany (BAFin, StA), Austria (FMA) and Switzerland (FinMA, StA) in the matter of Tycoon69 AG, HBI Hyperion AG and others, the relationship of trust between Frank M. Scheelen and Markus Goller was no longer given. Based on this knowledge, biotonus Corp. stopped the already initiated sponsoring payments to SCHEELEN Motorsport & Events Group at the last moment.

The subsequent communication via several channels and persons involved revealed serious financial problems of the SCHEELEN Motorsport & Events Group and its namesake SCHEELEN AG, both of which were unable to bear minimum amounts. At the present time, SCHEELEN AG and the SCHEELEN Motorsport & Events Group have informed us in writing that the "outstanding invoices are not only a burden on our financial stability" and that, apart from biotonus Corp., there is probably no replacement that is willing and able to support the SCHEELEN companies or even accompany them by means of sponsoring or loans. Currently, biotonus Corp. and its CEO Markus Goller are personally confronted with written and verbal threats from Frank M. Scheelen and authorized persons, directly and indirectly via partners, to transfer funds to SCHEELEN.

In this context, we would like to point out that invoices from the SCHEELEN companies to biotonus Corp. are exclusively claims for services not yet rendered by the SCHEELEN companies, which will no longer be called up due to the relationship of mistrust on the part of biotonus Corp. and therefore no costs have been incurred by the SCHEELEN companies. Due to this financial imbalance and instability of the SCHEELEN companies, as well as the dubious business practices of Frank M. Scheelen, the "character assassination" and "defamation of character" based on false statements made by him, as well as to protect biotonus shareholders, the entire Board of Directors of biotonus Corp. has terminated the cooperation with all SCHEELEN companies with immediate effect.
