Levi & Korsinsky is investigating the Board of Directors of RC2 Corporation (“RC2” or the “Company”) (Nasdaq: RCRC) for possible breaches of fiduciary duty and other violations of state law in connection with the sale of the Company to Tomy Company, Ltd.

New York, NY, March 12, 2011 -- Levi & Korsinsky is investigating the Board of Directors of RC2 Corporation (“RC2” or the “Company”) (Nasdaq: RCRC) for possible breaches of fiduciary duty and other violations of state law in connection with the sale of the Company to Tomy Company, Ltd. (“Tomy”) (Tokyo Stock Exchange, First Section: 7867). Under the terms of the transaction, RC2 shareholders will receive $27.90 per share for each RC2 share they own. The transaction has a total value of approximately $640 million.

The investigation concerns whether the RC2 Board of Directors breached their fiduciary duties to RC2 stockholders by failing to adequately shop the Company before entering into this transaction and whether Tomy is underpaying for RC2 shares, thus unlawfully harming RC2 stockholders. In particular, at least one analyst set a price target of $29.00 per share of RC2 stock.
