Aug. 10, 2026 - Sphere 3D Corp. (NASDAQ: ANY) announced that its Board of Directors has approved a limited-duration shareholder rights plan (SRP) following what the Company described as a substantial accumulation of its common shares.

The rights plan, entered into with TSX Trust Company as rights agent and dated Aug. 10, 2026, is designed to help ensure shareholders are treated fairly in the event of an unsolicited takeover bid, creeping takeover or other attempt to acquire control of Sphere 3D.

According to the Company, the SRP also provides the Board with additional opportunity to identify, develop and negotiate potential value-enhancing strategic alternatives. Sphere emphasized that the plan is not intended to prevent the Board from considering an acquisition proposal it determines is in the best interests of shareholders.
