In Manhattan, deeds, mortgages, and related documents are recorded through the Office of the City Register, and ACRIS allows the public to search recorded property records and view document images. New York Real Property Law Section 291 provides that a conveyance of real property may be recorded in the appropriate county office, establishing public notice and helping protect ownership and priority interests. Failing to record a deed can create title issues that affect future sales or refinancing of Manhattan properties.
Attorney Zinkovetsky highlights that personal property, by contrast, includes movable items such as vehicles, furniture, electronics, clothing, jewelry, and appliances. The key distinction between real and personal property is whether the item is fixed in place. However, certain items can fall into a gray area when installed in a home, as fixtures may become part of real property depending on how permanently they are attached and what the purchase agreement specifies. In Manhattan real estate transactions, buyers and sellers sometimes disagree about which items are included in the sale. "Clarifying these details in the purchase agreement before closing can help prevent disputes," Zinkovetsky adds. "Whether a dishwasher or built-in shelving is considered a fixture or personal property can become a contentious issue without clear contract language."
The third category, intellectual property, covers creations of the mind that the law recognizes as a form of property. This includes inventions protected by patents, brand names and logos protected by trademarks, original creative works protected by copyrights, and proprietary business information protected as trade secrets. The United States Patent and Trademark Office handles patent and trademark applications at the federal level, while the U.S. Copyright Office administers copyright registrations. New York courts enforce trade secret protections through civil litigation in venues such as the New York County Supreme Court. Business owners purchasing or selling enterprises that hold protected assets should be aware of how intellectual property rights factor into the transaction and may need coordination between real estate counsel and intellectual property counsel.
The firm notes that New York has several protections in place for property owners across all three categories. The Property Condition Disclosure Act under Real Property Law Sections 460 through 466 requires sellers of covered residential real property to complete a disclosure statement and deliver it to the buyer before the buyer signs a binding contract of sale. The statute's definition of covered residential real property excludes condominium units and cooperative apartments, so the requirement does not apply to every residential transaction in Manhattan. For personal property, the New York Penal Law classifies theft offenses by value, with grand larceny involving property valued over $1,000 treated as a felony under Penal Law Section 155.30.
Zinkovetsky points out that many Manhattan transactions involve either condominiums or cooperative apartments, and the legal distinction between these two property types affects nearly every aspect of the deal. A condominium purchase typically involves a deed transfer and ownership of real property, while a co-op purchase involves buying shares in a corporation together with a proprietary lease for the apartment. This distinction affects financing options, tax obligations, transfer documents, board approval requirements, and the overall closing process.
