LegaLogic Consulting advised Thermax Limited ("Thermax") on its acquisition of an additional 35.83% stake in Exactspace Technologies ("ExactSpace"), increasing its total shareholding to 51% and thereby securing majority control over the company. As a result of the transaction, ExactSpace has become a subsidiary of Thermax, enabling it to exercise effective control over the company's operations, governance, and long-term strategic direction.

This acquisition represents a significant step in Thermax's strategic growth and digital transformation journey. By integrating ExactSpace's capabilities in AI-driven industrial IoT, proprietary sensor technologies, and advanced diagnostics, Thermax aims to enhance its digital engineering offerings and strengthen its presence in the smart manufacturing and industrial analytics space. The transaction is expected to unlock synergies across Thermax's existing business verticals, particularly in predictive maintenance, real-time monitoring, and data-driven operational efficiencies, thereby reinforcing its leadership in the energy and environment solutions sector.

LegaLogic acted as the sole legal counsel to Thermax and provided comprehensive end-to-end support on the transaction, including advising on structuring considerations, conducting negotiations, and drafting and finalizing the definitive transaction documents. The firm also assisted in navigating closing mechanics and ensuring a smooth and timely completion of the transaction in line with the client's commercial objectives.
