Financial Agency Group

Financial Agency Group

Financial Agency Group, a U.S.-based financial advisory and IPO enablement company, announced today that it has publicly filed a Regulation A+ (Reg A+) offering with the U.S. Securities and Exchange Commission (SEC), seeking to raise up to $18 million through the sale of its common stock. The offering, filed under Tier 2 of Regulation A+, will allow both accredited and non-accredited investors to participate in the growth of the company as it scales its operations globally.

The offering consists of up to 18,000,000 shares of common stock at a fixed offering price of $1.00 per share, implying a post-money valuation and estimated market capitalization of $118 million upon full subscription. There are no preferred shares authorized.

The company has also applied for an OTC Market ticker symbol and expects to begin quotation of its shares on the OTCQB Venture Market following qualification of the offering by the SEC and satisfaction of applicable regulatory requirements. This Reg A+ filing marks a significant step toward Financial Agency Group's goal of increasing accessibility to private markets and democratizing the IPO process for emerging companies in India and other global markets.

The offering circular, once qualified by the SEC, will be made available to the public through the company's selected investment platform, and investors will be able to subscribe online after the qualification date. The offering is being made pursuant to an exemption from registration under Regulation A of the Securities Act of 1933.

Executive Comments
Rahul Malhotra, Chief Executive Officer of Financial Agency Group, stated:
"This Regulation A+ filing represents a pivotal milestone in our mission to open the U.S. capital markets to promising companies from India and other emerging economies. For far too long, the IPO process has been out of reach for early-stage and mid-sized firms operating outside major financial centers. By leveraging regulatory innovations like Reg A+, Financial Agency Group is building an inclusive, scalable platform that levels the playing field. We're not just advising companies-we're engineering the infrastructure to make IPOs faster, more transparent, and globally accessible. This offering not only enables our own expansion but also validates the market's growing appetite for accessible public financing tools. We look forward to engaging with a broader investor community as we continue to democratize access to growth capital."

Manish Prakash, Chief Financial Officer, added:
"This offering is a strategic step to capitalize our operations while preserving long-term shareholder value. With a fixed price per share and a clearly defined capital structure-18 million shares with no preferred stock-we are maintaining simplicity, transparency, and alignment with investors. Our financial model is lean, and the proceeds will be directed toward revenue-generating initiatives, especially in platform automation and international market development. We have designed this offering not just as a capital raise, but as an invitation for everyday investors to participate in the financial transformation of how companies approach U.S. public listings. We are confident that this structure and strategy place us on strong footing for sustainable growth and public trust."
