On October 12, 2021, Columbia Banking System, Inc. (Nasdaq: COLB), the parent company of Columbia State Bank, and Umpqua Holdings Corporation (Nasdaq: UMPQ), the parent company of Umpqua Bank, announced that they have entered into an agreement under which the companies will join together in an all-stock combination. Under the terms of the agreement, which was unanimously approved by the boards of directors of both companies, Umpqua shareholders will receive 0.5958 of a share of Columbia stock for each Umpqua share they own. Based on a closing price of $39.57 per NASDAQ: COLB on October 11, 2021, investors in Umpqua Holdings Corporation (NASDAQ: UMPQ) will receive a value of approximately $23.58 per NASDAQ: UMPQ shares.

However, since the announcement of the takeover shares of NASDAQ: COLB declined to $33.27 per share on October 12, 2021.

The investigation concerns whether the offer is unfair to NASDAQ: UMPQ stockholders. More specifically, the investigation concerns whether the Umpqua Holdings Board of Directors undertook an adequate sales process, adequately shopped the company before entering into the transaction, maximized shareholder value by negotiating the best price, and acted in the shareholders' best interests in connection with the proposed sale.

Shares of Umpqua Holdings Corporation (NASDAQ: UMPQ) closed on October 26, 2021, at $20.67 per share.
