direct/ Antonov plc (NL): Antonov Plc Issue of Equity and Warrants
The Company announces that, at a Board meeting held on 1 September 2006, 628,437 Ordinary Shares of 20p each ("Ordinary Shares") were allotted at a price of EUR0.67 per share under the terms of the existing convertible loan facility arrangement dated 26 July 2006.In addition, the Company announces that at a Board Meeting held on 4 September 2006, 52,280 Ordinary Shares were issued at a price of EUR1.60 per share on conversion of Unsecured Convertible Loan Notes issued under the instrument dated June 2005.
At the same Board Meeting dated 4 September 2006, 525,000 Ordinary Shares of 20p each ("Ordinary Shares") were allotted at a total price of EUR300,000 under the terms of a new Facility agreement with Quivest BV dated 2 September 2006, which also required the granting of 350,000 listed warrants to subscribe for new shares in the Company pursuant to the terms of a deed poll dated 8 June 2005 at a total price of EUR100,000 ("Listed Warrants").
Furthermore, at the same Board Meeting dated 4 September 2006, 73,370 Ordinary Shares of 20p each were allotted to a creditor to settle an outstanding liability of EUR41,821.
The enlarged issued share capital of the Company now consists of 37,303,745 Ordinary Shares.
Application for the admission to AIM of the Ordinary Shares and Listed Warrants will be made and dealings are expected to commence on 13 September 2006. The Ordinary Shares and Listed Warrants will on admission to AIM rank pari passu with, and will be identical in all respects to, the existing Ordinary Shares and Listed Warrants respectively of the Company.
Application will also be made at the earliest practical opportunity for admission of the ordinary shares and warrants to trading on Euronext Amsterdam.
