According to the complaint filed in the U.S. District Court for the District of New Jersey the plaintiff alleges on behalf of purchasers of Butterfly Network, Inc. (NYSE: BFLY) common shares between February 16, 2021 and November 15, 2021, that the defendants violated Federal Securities Laws. More specifically, the plaintiff claims that between February 16, 2021 and November 15, 2021, the Proxy and Defendants made false and/or misleading statements and/or failed to disclose that Butterfly had overstated its post-Merger business and financial prospects, that notwithstanding the ongoing COVID-19 pandemic, Butterfly's financial projections failed to take into account the pandemic's broad consequences, which included healthcare logistical challenges, and medical personnel fatigue, that accordingly, Butterfly's gross margin levels and revenue projections were less sustainable than the Company had represented, that all the foregoing was reasonably likely to have a material negative impact on Butterfly's business and financial condition, and that as a result, the Company's public statements were materially false and misleading at all relevant times.
