direct/ Eureko B.V. (NL) - EUREKO / ACHMEA AND AGIS ZORGVERZEKERINGEN MERGER FINALISED
Press release from: Eureko B.V.
Zeist/Amersfoort, 28 December 2007 - The merger of Eureko and Agis Zorgverzekeringen is a fact. The Councils of Members of Vereniging Achmea and Vereniging Agis have given the green light to the merger. The external supervisors, the Netherlands Competition Authority (NMa) and the Nederlandsche Bank (DNB) have given their approval. The merger creates the largest health insurance group in the Netherlands, insuring a total of 4.7 million people.
Agis will become an independent division of Achmea, Eureko´s Dutch operation, on 1 January 2008. Both the Agis brand and organisation will be retained. The merger will not affect employment.
The members of the current Agis Board - Rob Adolfsen (chairman) and Diana Monissen - will be the directors of the new Achmea division. At board level, Eureko and Agis will exchange supervisory directors. Agis will also have six representatives on the Council of Members of the Vereniging Achmea.
As a result of their co-operative backgrounds, Achmea and Agis complement each other well in terms of philosophy and culture. They have much to offer each other. In health care procurement, Agis is in a strong position in comprehensive health-care provision, for example, to people with chronic ailments. Agis leads in transparency of health care quality and was the first to publish performance figures for Dutch hospitals.
Agis is also very good at targeting communications at specific groups in the individual market, such as Dutch residents from ethnic backgrounds. In turn, Achmea is well represented in the group market, offering a comprehensive package covering health care and occupational health. Achmea is noted for its attention to preventive measures and can offer Agis the desired economies of scale.
